WEB EMS (Web based Element Management System) END-USER SOFTWARE LICENSE AGREEMENT
PLEASE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS END-USER SOFTWARE LICENSE AGREEMENT (the "AGREEMENT") CAREFULLY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, YOU SHOULD NOT CLICK ON THE ACCEPT BUTTON AND YOU SHOULD NOT INSTALL AND USE THIS SOFTWARE. AS FOR REFERENTCE, YOU COULD PRINT THE AGREEMENT IN THIS PAGE OR REFER TO THE COPY OF THIS AGREEMENT IN HELP FILES OF THIS SOFTWARE. THIS AGREEMENT IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) AND PRO BROADBAND INC.(the "Crosslayer") FOR THE Crosslayer HEADEND DEVICE MANAGEMENT SYSTEM SOFTWARE (the "SOFTWARE") AND ANY ASSOCIATED PRINTED MATERIALS. BY CLICKING THE "I AGREE" BUTTON, YOU ACCEPT ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT AS OF THE DATE YOU CLICK THE BUTTON. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT CLICK THE "I AGREE" BUTTON, AND DO NOT INSTALL OR USE THIS SOFTWARE. THIS SOFTWARE IS PROTECTED BY COPYRIGHT LAWS AND INTERNATIONAL COPYRIGHT TREATIES, AS WELL AS OTHER INTELLECTUAL PROPERTY LAWS AND TREATIES.
1 LICENSE GRANT.
The Crosslayer Inc. grants you a non-exclusive license to use this SOFTWARE. You will have the following rights:
1.1 You could install, use, display and run at most one copy of this software in one PC, work station, terminal, portable computer or other digital electronic instruments.
1.2 You could make a copy of this SOFTWARE for backup, but not be allowed to distribute this backup copy to the third party. When you lose the legal property of the backup copy, you must destroy it immediately.
1.3 You can modify the SOFTWARE to improve its functions and performances when use it. But not allow to distribute the modified software to third party without Crosslayer Inc.'s permission, except there is special agreement in contract.
2 RESTRICTIONS.
In order to protect this SOFTWARE, you must ensure that:
2.1 Not use, copy, edit, rent or attorn this SOFTWARE or any parts of this SOFTWARE beyond the terms in this AGREEMENT.
2.2 Only use this SOFTWARE in one computer. Not allow to use one copy of SOFTWARE in different computers at the same time (except the conditions in 2.3).
2.3 Only use this SOFTWARE in multi-users envirement or network softwares in one of below conditions: there is proclamation which allow to use this SOFTWARE in multi-users enviroment or network software; or every node/end has purchased the using permission of this SOFTWARE.
2.4 Not decompile, disassemble, or reverse-engineer this SOFTWARE.
2.5 Not rent, lease, lend or encumber this SOFTWARE
2.6 All the copyright marks are in all the copies of this SOFTWARE.
3 ATTORNMENT.
You could attorn all the rights in this AGREEMENT for one time permanently. After the attornment, your proprietary rights will terminate accordingly. The attornment conditions are:
3.1 You cannot leave any duplicates；
3.2 Attorn the whole SOFTWARE（including all groupware, media, printed materials, any updated version and this AGREEMENT）；
3.3 The transferee must accept all terms in this AGREEMENT；
3.4 If the SOFTWARE has been updated, all the previous version of this SOFTWARE must be attorned.
4 SUPPORT SERVICE:
4.1 Crosslayer Inc. provides all relative support service for the SOFTWARE（the "SUPPORT SERVICE"）.
4.2 The SUPPORT SERVICE is restricted by the policies and projets in user's manual or other materials provided by Crosslayer Inc..
4.3 Any orditional codes of software in SUPPORT SERVICE should be the part of the SOFTWARE, and need to accord with the AGREEMENT.
4.4 Crosslayer Inc. can use the technology information, which provided by you as part of the SUPPORT SERVICE, for business use, including products support and development. Crosslayer Inc. won't remind you personally when use these technology information except in some obligatory conditions.
5 SUBSTITUTION, MODIFICATION AND UPDATE OF SOFTWARE:
5.1 Crosslayer Inc. keeps the rights to substitute, modify and update the SOFTWARE by providing substituted version, modified version and updated version of this SOFTWARE, and the rights to take charges for substitution, modification and update.
5.2 Any substitued, modified or updated version of this SOFTWARE provided by Crosslayer Inc. will be treated as part of the SOFTWARE and restricted by the AGREEMENT.(except the AGREEMENT is replaced by a new AGREEMENT in the substituted/modified/updated version of the SOFTWARE).
5.3 If Crosslayer Inc. provides a substituted/modified/updated version of the SOFTWARE, your condition for continuous use is to accept this substituted/modified/updated version of the SOFTWARE or the new AGREEMENT if any. And your rights to use the previous version of SOFTWARE will be terminated accordingly.
6 RIGHTS RESERVATION.
All the other rights granted unclearly are reserved by Crosslayer Inc..
7 COPYRIGHT.
7.1 The name of this SOFTWARE and its duplications must be together with the company indicated in CD or in SOFTWARE.
7.2 All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by Crosslayer Inc..
7.3 The SOFTWARE and its documents are protected by copyright laws and international treaty provisions.
7.4 You cannot delete the copyright announcement from the SOFTWARE, and guarantee to replicate the copyright announcement for the duplications of the SOFTWARE. You agree to stop any illegal duplicating actions for this SOFTWARE and its ducuments.
7.5 You cannot replicate the printed materials attached in this SOFTWARE.
8 EXPORT CONTROLS.
You agree that NOT to export or transit this SOFTWARE or any part of this SOFTWARE or any data
or services related to this SOFTWARE to the countries or regions besides China continent.
9 EXPORT REGULATIONS.
All Software, Information, documents, technical data, and any other information made available or
delivered to you under this AGREEMENT are subject to China export control laws and may be subject
to export or import regulations in other countries. You agree to comply strictly with all such
laws and regulations and acknowledge that you have the responsibility to obtain such licenses to
export, re-export, or import as may be required after obtained by or delivered to you.
10 WARRANTY:
10.1 Crosslayer Inc. warrants that if use the SOFTWARE in normal condition, there will be no materials or craft defects in SOFTWARE in 90 days since the sell date. If there is defect indeed after validation, Crosslayer Inc. will change a good SOFTWARE for you as compensation.
10.2 If the defects are caused by accidents, or misuse or incorrect use, this WARRENTY will be of no effect.
10.3 The warrenty days for the exchanged SOFTWARE are the rest of the warrenty days of the original SOFTWARE, or 30 days if the rest of days are less than 30 days.
10.4 There is no any other warranties besides above ones.
11 LIMITATION OF LIABILITY.
To the fullest extend permitted by law, in no event will Crosslayer Inc. or its licensors be liable for any direct, special, indirect, consequential, incidental or punitive damages (including, without limitation, damages for loss of goodwill, work stoppage, profits, data, or any other pecuniary loss), or for any personal injury or bodily injury (including death) to anyperson caused by creative's negligence, however caused regardless of the theory of liability, arising out of or related to the use of or inability to use software and/or the information even if Crosslayer Inc. has been advised of the possibility of such damages and whether or not such damages are foreseeable. The foregoing limitations will apply enven if the above stated warranty fails of its essential purpose.
12 TERMINATION.
12.1 Without prejudice to any other rights, Crosslayer Inc. may terminate this AGREEMENT if you fail to comply with the terms and conditions of this AGREEMENT. In such event, you must destroy all copies of the SOFTWARE and all of its component parts, or give them back to Crosslayer Inc..
12.2 If Crosslayer Inc. provides a NEW AGREEMENT in substituted/modified/updated version of the SOFTWARE, your condition for continuous use is to accept the NEW AGREEMENT in the substituted/modified/updated version of the SOFTWARE. And Crosslayer Inc. has right to terminate this AGREEMENT.
13 GOVERNING LAWS
This AGREEMENT is applicable to "COPYRIGHT LAW OF THE PEOPLES REPUBLIC OF CHINA", "REGULATIONS FOR THE PROTECTION OF COMPUTER SOFTWARE", "PATENT LAW OF THE PEOPLES REPUBLIC OF CHINA" and other laws and statutes. This AGREEMENT is governed by the laws in China.
THUS, YOU HAVE ALREADY READ AND UNDERSTOOD THIS AGREEMENT CAREFULLY, AND AGREE TO COMPLY WITH ALL THE TERMS AND CONDITIONS STRICTLY.
NOTE: THE INTELLECTUAL PROPERTY RIGHTS AND OBLIGATIONS OF OTHER SOFTWARES PRESENTED IN THIS SOFTWARE IS OWNED AND ASSUMED BY CORRESPONDING PROVIDERS.

請務(wù)必仔細閱讀和理解本軟件最終用戶(hù)許可協(xié)議（以下稱(chēng)《協(xié)議》）中規定的所有權利和限制。在安裝時(shí)，您需要仔細閱讀并決定接受或不接受本《協(xié)議》的條款。除非或直至您接受本《協(xié)議》的條款，否則本軟件不得安裝在您的計算機上。作為參考，您現在就可以從本頁(yè)起打印出本《協(xié)議》的文本，或者參閱本“軟件”“幫助”文件中本《協(xié)議》的副本。 本《協(xié)議》是您與北京長(cháng)河朗銳科技有限公司(以下簡(jiǎn)稱(chēng)"長(cháng)河網(wǎng)絡(luò )")之間有關(guān)隨附本《協(xié)議》的長(cháng)河網(wǎng)絡(luò )軟件的法律協(xié)議。本軟件包括隨附的計算機軟件，并可能包括相關(guān)文檔印刷材料。您一旦安裝本“軟件”，即表示您同意接受本《協(xié)議》各項條款的約束。如您不同意本《協(xié)議》中的條款，您則不可以安裝或使用本“軟件”。本“軟件”受著(zhù)作權法及國際著(zhù)作權條約和其它知識產(chǎn)權法和條約的保護。
1 北京長(cháng)河朗銳科技有限公司將本軟件在全球范圍內的非專(zhuān)有的使用權授予您。您可以：
1.1 在一臺計算機、工作站、終端機、手持式計算機或其它數字電子儀器（“計算機”）上安裝、使用、顯示、運行（“運行”）本“ 軟件” 的一份副本。
1.2 為了防止復制品損壞而制作備份復制品。這些備份復制品不得通過(guò)任何方式提供給他人使用，并在您喪失該合法復制品的所有權時(shí) ，負責將備份復制品銷(xiāo)毀。
1.3 為了把該軟件用于實(shí)際的計算機應用環(huán)境或者改進(jìn)其功能、性能而進(jìn)行必要的修改；但是，除合同另有約定外，未經(jīng)長(cháng)河網(wǎng)絡(luò )許可 ，不得向任何第三方提供修改后的軟件。
2 為了保護本軟件,您必須保證：
2.1 不在本協(xié)議規定的條款之外，使用、復制、修改、租賃或轉讓本軟件或其中的任一部份。
2.2 只在一臺計算機上使用本軟件；一份“軟件”許可不得在不同的計機共同或同時(shí)使用。
2.3 只在以下之一前提下，將本軟件用于多用戶(hù)環(huán)境或網(wǎng)絡(luò )軟件。本軟件明文許可用于多用戶(hù)環(huán)境或網(wǎng)絡(luò )軟件上；或者，使用本軟件的每 一節點(diǎn)及終端都已購買(mǎi)使用許可。
2.4 不得對本“軟件”進(jìn)行反向工程、反向編譯或反匯編。
2.5 不出租、租賃或出借本“軟件”產(chǎn)品
2.6 在本“軟件”的所有副本上包含所有的版權標識。
3 軟件轉讓.您可將您在本《協(xié)議》項下的所有權利作永久性一次轉讓?zhuān)D讓后您的許可權即自行終止。轉讓的條件是：
3.1 您不得保留副本；
3.2 轉讓“軟件產(chǎn)品”（包括全部組件、媒體及印刷材料，任何升級版本和本《協(xié)議》）的所有部分；
3.3 受讓人接受本《協(xié)議》的各項條款；
3.4 如果“軟件產(chǎn)品”為升級版本，任何轉讓必須包括本“軟件產(chǎn)品”的所有前版本；
4 支持服務(wù):
4.1 長(cháng)河網(wǎng)絡(luò )為您提供與“軟件”有關(guān)的支持服務(wù)（以下稱(chēng)“支持服務(wù)”）。
4.2 支持服務(wù)的使用受用戶(hù)手冊或其它長(cháng)河網(wǎng)絡(luò )提供的材料中所述的各項政策和計劃的制約。
4.3 提供給您作為支持服務(wù)的一部分的任何附加軟件代碼應被視為本“軟件”的一部分，并須符合本《協(xié)議》中的各項條款。
4.4 您提供給長(cháng)河網(wǎng)絡(luò )作為支持服務(wù)的一部分的技術(shù)信息，長(cháng)河網(wǎng)絡(luò )可將其用于商業(yè)用途，包括產(chǎn)品支持和開(kāi)發(fā)。除了在為您提供支持時(shí) 必須的情況外，長(cháng)河網(wǎng)絡(luò )在使用這些技術(shù)信息時(shí)不會(huì )以個(gè)人形式提及您。
5 軟件的替換、修改和升級:
5.1 長(cháng)河網(wǎng)絡(luò )保留在任何時(shí)候通過(guò)為您提供本“軟件”的替換版本或修改版本或這類(lèi)升級版本以替換、修改或使本“軟件”升級的權利和 為這類(lèi)替換、修改或升級收取費用的權利。
5.2 長(cháng)河網(wǎng)絡(luò )提供給您的本“軟件”的任何替換版本或修改軟件代碼或升級版本，將被視為本“軟件”的一部分并且要受到本《協(xié)議》條 款的制約（除非本《協(xié)議》被隨附本“軟件”的替換或修改版本或升級版本的另外一份《協(xié)議》取代）。
5.3 如果長(cháng)河網(wǎng)絡(luò )提供本“軟件”的一個(gè)替換或修改版本或任何升級版本，則您對本“軟件”的繼續使用條件是您接受本“軟件”的這類(lèi) 替換或修改版本或升級版本以及任何隨附的取代《協(xié)議》，并且就替換或修改版本的“軟件”而言，您對“軟件”的所有先前版本的 使用將被終止。
6 權利的保留.
未明示授予的一切其它權利均為長(cháng)河網(wǎng)絡(luò )所有。
7 本“軟件”的著(zhù)作權 :
7.1 本“軟件產(chǎn)品”及其所有復制品的名稱(chēng)，與光盤(pán)上或本軟件中注明的公司同在。
7.2 本“軟件產(chǎn)品”（包括但不限于本“軟件”中所含的任何圖像、照片、動(dòng)畫(huà)、錄像、錄音、音樂(lè )、文字和附加程序）、隨附的印刷材 料、及本“軟件”的任何副本的產(chǎn)權和著(zhù)作權，均由長(cháng)河網(wǎng)絡(luò )擁有。
7.3 本軟件及文檔享有版權，并受?chē)野鏅喾皣H協(xié)約條款的保護。
7.4 您不可以從本軟件中去掉其版權聲明；并保證為本軟件的復制品（全部或部分）復制版權聲明。您同意制止以任何形式非法復制本軟 件及文檔。
7.5 您不可復制本“軟件”隨附的印刷材料。
8 出口限制 :
您同意不將本“軟件”、其任何部分或任何屬“軟件”的直接成果的任何程序或服務(wù)出口或轉口給任何中國外的任何國家或者地區。
9 出口規則
所有軟件、情報、文件、技術(shù)數據和其他依據本“協(xié)議”所取得的信息均需服從中國出口的相關(guān)法律，或可能要服從其他國家的進(jìn)出 口規定。
您同意嚴格遵守上述法律法規，如有相關(guān)要求，愿意承擔獲取出口、復出口或進(jìn)口的許可的責任。
10、 售后擔保:
10.1 長(cháng)河網(wǎng)絡(luò )擔保，在正常使用的情況下，自售出之日起九十天內，其軟件載體無(wú)材料或工藝缺陷。經(jīng)驗證確有缺陷時(shí)，長(cháng)河網(wǎng)絡(luò )公司的全部 責任就是退換其軟件載體作為對您的補償。
10.2 因事故、濫用或錯誤應用導致的載體缺陷，售后擔保無(wú)效。
10.3 退換的載體享受原擔保期剩余時(shí)間，或三十天的擔保；取其長(cháng)者優(yōu)先。
10.4 除上述之外，本軟件不享受任何其他形式的售后擔保。
11 責任有限:
上述擔保，無(wú)論是明示或暗喻的，為擔保的全部?jì)热?，包括對特殊應用目的的商品性和適應性擔保。在適用法律所允許的最大范圍內 ，長(cháng)河網(wǎng)絡(luò )或其供應商絕不就因使用或不能使用本“軟件”所引起的或有關(guān)的任何間接的、意外的、直接的、非直接的、特殊的、懲 罰性的或其它任何損害賠償（包括但不限于因人身傷害或財產(chǎn)損壞而造成的損害賠償，因利潤損失、營(yíng)業(yè)中斷、商業(yè)信息的遺失而造 成的損害賠償，因未能履行包括誠信或相當注意在內的任何責任致使隱私泄露而造成的害賠償，因疏忽而造成的損害賠償，或因任何 金錢(qián)上的損失或任何其損它損失而造成的損害賠償）承擔賠償責任，即使長(cháng)河網(wǎng)絡(luò )或其任何供應商事先被告知該損害發(fā)生的可能性。 即使補救措施未能達到預定目的，本損害賠償排除條款將仍然有效。
12 許可終止
12.1 如您未遵守本《協(xié)議》的各項條款和條件，在不損害其它權利的情況下，長(cháng)河網(wǎng)絡(luò )可終止本《協(xié)議》。終止《協(xié)議》時(shí)，您必須立即 銷(xiāo)毀本軟件的所有復制品，或者歸還給長(cháng)河網(wǎng)絡(luò )公司。
12.2 通過(guò)向您提供本“軟件”或本“軟件”的任何替換或修改版本或升級版本的一份取代《協(xié)議》，并規定您繼續使用本“軟件”或這類(lèi) 替換、修改或升級版本的條件是您接受這類(lèi)取代《協(xié)議》，長(cháng)河網(wǎng)絡(luò )公司可以終止本《協(xié)議》。
13 適用、管轄法律：
本協(xié)議適用《中華人民共和國著(zhù)作權法》、《中華人民共和國計算機軟件保護條例》、《中華人民共和國商標法》、《中華人民共和 國專(zhuān)利法》等法律法規。本《協(xié)議》受中華人民共和國法律管轄。
至此，您肯定已經(jīng)詳細閱讀并已理解本協(xié)議，并同意嚴格遵守各條款和條件。
注：本軟件附贈其它軟件的知識產(chǎn)權以及法律責任由該附贈軟件提供商享有及承擔。
